The Beacon Insurance Company Limited and General Accident Insurance Company (Trinidad and Tobago) Limited hereby give notice of their intention to amalgamate pursuant to the provisions of the Insurance Act, 2018 (as amended).
- The Beacon Insurance Company Limited, a company continued under the Companies Act, Ch 81:01 of the laws of Trinidad and Tobago with its registered address at 13 Stanmore Avenue, Port of Spain, Trinidad and Tobago; and
- General Accident Insurance Company (Trinidad and Tobago) Limited, a company incorporated under the Companies Act, Ch 81:01 of the laws of Trinidad and Tobago with its registered address at 36A Ariapita Avenue, Woodbrook 170210, Trinidad and Tobago
HEREBY GIVE NOTICE that The Beacon Insurance Company Limited (‘Beacon’) and General Accident Insurance Company (Trinidad and Tobago) Limited (‘GATT’) intend to amalgamate (the ‘Amalgamation’) to create a new company also to be known as The Beacon Insurance Company Limited (the ‘Amalgamated Company’) pursuant to an amalgamation agreement. The Amalgamation remains subject to the approval of the Central Bank of Trinidad and Tobago pursuant to the provisions of the Insurance Act.
Beacon is wholly owned by Musson (Jamaica) Limited, a company incorporated under the laws of Jamaica (‘Musson’). GATT is majority owned by General Accident Insurance Company Jamaica Limited, a company incorporated under the laws of Jamaica (‘GENAC’), which is itself majority owned by Musson.
As a result of the Amalgamation:
- The existing shares held by GENAC and the other minority shareholders in GATT will be converted into shares of the Amalgamated Company and, immediately thereupon, repurchased and cancelled by the Amalgamated Company; and
- The existing Beacon Shares will be converted into shares of the Corporation by the cancellation of the existing Beacon Shares and the issue of ordinary shares by the Amalgamated Company to Musson.
As a result of the Amalgamation, the Amalgamated Company will be wholly-owned by Musson upon completion of the amalgamation.
The Amalgamation will not impact the rates, terms and conditions, coverage and benefits, or service and administration of existing insurance policies of Beacon or GATT. The Amalgamated Company will assume all responsibility for the existing policies of Beacon and GATT from the effective date of the Amalgamation.
Period of Inspection and Objection
The scheme of amalgamation is available for a period of inspection at the respective addresses of Beacon and GATT stated below. The period of inspection commences on the date of this Notice of Intention to Amalgamate and ends 15 business days thereafter.
Any person who objects to or is aggrieved by the proposed Amalgamation shall inform the Central Bank of Trinidad and Tobago or Beacon or GATT no later than 20 business days after the close of the period of inspection. Beacon and GATT will forward all objections received by them to the Central Bank of Trinidad and Tobago not later than 2 business days after receipt of said objection.
Following the close of the period of objection, the Central Bank of Trinidad and Tobago shall hold a hearing for the confirmation of the proposed Amalgamation at which submissions may be made by Beacon, GATT, and any other person who in the opinion of the Central Bank of Trinidad and Tobago is entitled to be heard.
